We have chartered financial institutions and handled all aspects of the organization of de novo commercial banks, from application to completed public offering. The firm also has served as general counsel to commercial banks and counseled them with respect to matters involving the Federal Reserve Board, Federal Deposit Insurance Corporation, and New Jersey Department of Banking and Insurance.

In addition, the firm counsels lenders in sophisticated lending transactions and negotiating and restructuring the workout of troubled loans. We have represented both lenders and borrowers on such varied financial transactions as secured and unsecured loans, asset-based loans, foreclosure proceedings, letters of credit, and leveraged buyouts.
